ADDITIONAL TERMS FOR UGC VIDEO ORDERS

Client Obligations and Materials

The ability of No Boring Content Pty Ltd to perform its obligations under this Agreement is dependent on the Client fulfilling its obligations. No Boring Content Pty Ltd shall not be liable for any costs, charges, or losses sustained by the Client arising directly from any failure or delay of the Client to fulfill its obligations stipulated in the product order pages and product description.

Non-Solicitation

Client will not solicit or work with any of No Boring Content Pty Ltd's employees or contractors while the Client is engaged with No Boring Content Pty Ltd, or for two (2) years thereafter.

Legal Clearances and Indemnification

The Client is responsible for obtaining all legal clearances, licenses, permits, consents, and approvals required for No Boring Content Pty Ltd's performance of the Services. The Client shall indemnify, defend (at its own cost and expense), and hold No Boring Content Pty Ltd and its affiliates and their owners, directors, managers, officers, employees, and agents harmless from and against any and all claims, suits, demands, damages, losses, costs, and expenses, including legal fees.

Force Majeure; Liability of No Boring Content Pty Ltd; Disclaimer of Warranties

No Boring Content Pty Ltd shall not be held responsible or liable for delays or non-performance caused by activities or factors beyond its reasonable control, including, but not limited to, epidemics, pandemics, other public health emergencies, emergency state or federal orders, natural disasters, viruses, denial of service attacks, other acts or omissions by third parties, Internet service providers, the Client or its employees or contractors, strikes, lockouts, work slowdowns or stoppages, accidents, fires, acts of God, war, terrorism (or threat thereof), failure by the Client to timely furnish information or approve or disapprove work, or faulty performance by the Client or others, including third-party contractors hired by No Boring Content Pty Ltd or by the Client.
